Welcome to Blackridge Aviation LLC (“Blackridge,” “we,” “us,” “our”). These Terms of Service (“Terms”) govern your access to and use of our website, digital services, client portal, and all associated features, content, and tools provided by Blackridge Aviation LLC, whether as a guest, client, or registered user.
By accessing our site, using our services, or engaging with our firm in any capacity, you agree to these Terms in full. If you do not agree, you must not use our site or services.
1. About Blackridge Aviation
Blackridge Aviation LLC is a U.S.-based, full-service aircraft brokerage company focused on premium, concierge-level service for aircraft owners, sellers, and buyers. We offer digital aircraft listing services, client consulting, marketing syndication, contract negotiation, and related advisory services in the general and business aviation sectors.
2. Eligibility
By using our site and services, you confirm that:

• You are at least 18 years of age

• You have the authority to enter into binding legal agreements

• All information you provide is accurate, current, and complete

• You are not a competitor or attempting to replicate or reverse engineer our intellectual property

3. Use of Website & Portal
You agree to use the site and portal solely for lawful purposes and in accordance with these Terms. You may not:

• Attempt to access unauthorized areas of our client portal

• Distribute or modify content without express permission

• Introduce malicious software or use data scraping tools

• Engage in fraud, misrepresentation, or unauthorized third-party listing

4. Aircraft Listings & Brokerage Engagement
By engaging Blackridge Aviation to sell or purchase an aircraft, you agree to the following:

• All aircraft details provided through our forms or documents must be accurate to the best of your knowledge

• You confirm legal ownership or authority to list the aircraft

• Blackridge reserves the right to verify any submitted data, including logbooks, airworthiness directives, maintenance history, lien status, FAA records, and title status via third-party title firms

• Blackridge may use your listing data and photographs for public and private marketing distribution

• You agree that Blackridge will manage buyer negotiations and communications unless otherwise agreed in writing

Exclusive Listings:
If you have signed an exclusive listing agreement with Blackridge Aviation, you may not market the aircraft elsewhere during the agreement term.
Non-Exclusive Listings:
If you are listing your aircraft non-exclusively, you must disclose any other brokers involved. Blackridge will not be responsible for conflicts arising from third-party listings.
5. Escrow, Title, and Regulatory Compliance
All aircraft transactions facilitated by Blackridge Aviation must use AIC Title Service as the designated escrow and title handling firm unless agreed otherwise in writing.
You further agree that:

• FAA Form 8050-2, FAA Form 8050-1, and other closing documents will be completed in full compliance with FAA regulations

• The transaction will adhere to all applicable Oklahoma state laws, U.S. Department of Transportation (DOT) rules, and Federal Aviation Administration (FAA) requirements

• Any international transactions will follow FAA export procedures or relevant ICAO country transfer protocols

6. Fees & Payments
Brokerage fees will be clearly defined in your signed Listing Agreement. Unless otherwise agreed, our standard commission is 5% of the aircraft’s gross sale price, payable at closing.
You acknowledge that:

• Commission is due only upon a successful transaction

• Fees are typically collected through escrow at the time of closing

• Marketing and photography costs may be billed separately if outlined in your agreement

7. Data Use & Confidentiality
Blackridge Aviation takes data privacy seriously. By submitting any personal or aircraft-related data through our site or forms, you grant us the right to use that information to:

• Market the aircraft across digital platforms and private channels

• Share aircraft details with potential buyers, aviation dealers, and vetted third parties

• Maintain internal reporting, analytics, and client records

Your data will never be sold to third-party advertisers. All confidential financial, identity, or sensitive information is stored securely in accordance with U.S. data privacy standards.
8. Intellectual Property
All content on blackridgeaviation.com, including but not limited to logos, branding, images, aircraft listings, copy, documents, portal tools, and proprietary methodologies, are the exclusive intellectual property of Blackridge Aviation LLC.
You may not use, reproduce, copy, or distribute any materials without written consent.
9. Communications
By submitting your contact details, you consent to receive email, phone, and text communications from Blackridge Aviation and its agents. This includes updates about your listing, market activity, and service notifications.
You may opt out of general marketing communications at any time. Transactional or client service messages cannot be opted out of while your account or aircraft is active.
10. Disclaimers

• Blackridge Aviation is not responsible for damages or legal action resulting from inaccurate or outdated information provided by sellers or buyers

• All marketing descriptions, aircraft specifications, and hours are subject to verification and should not be relied upon without due diligence

• Buyers are advised to conduct their own pre-purchase inspection and title review

• Aircraft listed "subject to prior sale or removal" without notice

11. Limitation of Liability
To the maximum extent permitted by law, Blackridge Aviation LLC, its members, agents, and representatives shall not be liable for:

• Indirect, incidental, special, or consequential damages

• Any loss resulting from delays in marketing, sale, or documentation

• Disputes arising between buyer and seller during escrow

• Title or ownership claims not disclosed at the time of listing

Our total liability shall in no event exceed the brokerage fee paid to Blackridge in connection with a specific transaction.
12. Termination
We reserve the right to suspend or terminate access to our services, portal, or site if we suspect:

• Violation of these Terms

• Misrepresentation of aircraft data

• Fraudulent behavior

• Interference with other clients’ transactions or listings

13. Governing Law
These Terms are governed by the laws of the State of Oklahoma and applicable federal aviation regulations. Any disputes will be resolved in Oklahoma County, State of Oklahoma.
14. Modifications
We may revise these Terms at any time. Updates will be posted on this page with an updated “Effective Date.” Continued use of the site or services after such updates constitutes acceptance of the revised Terms.
